Terms & Conditions

1. Who we are

These Terms and Conditions ("Terms") govern your access to and use of www.digifov.com (the "Site") and the services described on it. The Site and the services are operated by Tradeborder LLC ("Tradeborder," "Digifov," "we," "us," or "our"), a Florida limited liability company, trading as Digifov — Digital Field of View.

Digifov is a digital agency network offering influencer marketing, content creation, email campaigns and strategy, social media campaigns, Shopify website launch and e-commerce migration services, digital PR, creative project management, analysis and reporting, and related tool implementation, delivered directly by our team or through our network of partner agencies.

Registered business name: Tradeborder LLC Trading as: Digifov Business address: 7901 4th St. N, Suite 13028, St. Petersburg, Florida 33702, United States Contact email: info@digifov.com

By accessing or using the Site, submitting an inquiry, or engaging us for services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our services.

2. Who can use the Site

The Site is intended for businesses and individuals seeking marketing, creative, and e-commerce services, and is not directed at children. By using the Site, you confirm that you are at least 18 years old, or are using the Site under the supervision of a parent or guardian, and that you have the authority to agree to these Terms on behalf of yourself or the organization you represent.

3. The platform this site runs on

The Site is built and hosted on Wix.com ("Wix"). Wix provides the underlying website infrastructure, forms, and certain built-in security and analytics features. Your use of the Site is also subject to Wix's own terms of use, to the extent they apply to the platform on which the Site runs. We are not responsible for outages, bugs, or limitations that originate from the Wix platform itself.

4. Use of the Site

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, restrict, or inhibit anyone else's use of the Site. In particular, you agree not to:

Use the Site in any way that violates applicable local, national, or international law or regulation;

Attempt to gain unauthorized access to the Site, our systems, or any account, server, or database connected to the Site;

Introduce viruses, trojans, worms, or other material that is malicious or technologically harmful;

Scrape, data-mine, or use automated means to extract content from the Site without our prior written consent;

Submit false, misleading, or fraudulent information through our contact forms or inquiry channels;

Use the Site to transmit unsolicited advertising or promotional material.

We reserve the right to restrict or terminate your access to the Site at our discretion if we believe you have violated these Terms.

5. Our services and client engagements

The Site describes the services Digifov offers. Descriptions of our services on the Site are for informational purposes and do not, by themselves, constitute a binding offer or guarantee of results.

An actual engagement for services — including scope, deliverables, timeline, fees, and payment terms — is governed by a separate written agreement, proposal, statement of work, or order form (a "Client Agreement") entered into between you (or your organization) and Digifov, or, where applicable, the relevant partner agency delivering the work. Where these Terms conflict with a signed Client Agreement, the Client Agreement controls with respect to that engagement.

Partner agencies. Digifov operates as a network. Some services may be delivered directly by our team, and others by a named partner agency within the network. We will be transparent about who is performing the work. Each partner agency remains responsible for the quality and delivery of the specific services it provides, and Digifov's role and responsibility with respect to partner-delivered work will be set out in the applicable Client Agreement.

Fees and payment. Fees, invoicing schedules, and payment terms are set out in the applicable Client Agreement or proposal and are not published generally on the Site. Late or non-payment may result in suspension of ongoing services, in accordance with the terms of the relevant Client Agreement.

Third-party platforms. Certain services (for example, Shopify store setup or migration, email platform configuration, or ad account management) require you to hold or create your own accounts with third-party providers such as Shopify, Meta, Google, or email service providers. You are responsible for complying with those providers' own terms of service, and we are not responsible for actions those providers take with respect to your accounts, including suspension, fees, or policy changes.

6. Intellectual property

Our content. Unless otherwise stated, the Site itself — including its design, layout, text, graphics, logos (including the Digifov "Orbit Mark" and wordmark), and the Digifov brand assets — is owned by or licensed to Tradeborder LLC and is protected by copyright, trademark, and other intellectual property laws. You may view and print pages from the Site for your own personal or internal business reference, but may not reproduce, republish, distribute, or create derivative works from the Site's content without our prior written permission.

Deliverables. Ownership and license rights to creative work, content, code, or other deliverables produced for a client (for example, campaign creative, website builds, or written copy) are governed by the applicable Client Agreement, not by these Terms. In general, and unless the Client Agreement states otherwise, ownership of final, paid-for deliverables transfers to the client upon full payment, while Digifov and its partner agencies retain the right to display completed work in portfolios, case studies, and marketing materials unless the client has requested confidentiality in writing.

Client materials. You retain ownership of materials, brand assets, and data you provide to us for use in delivering services. You grant us a limited license to use those materials solely for the purpose of performing the services you have engaged us for.

7. Third-party links and tools

The Site and our communications may contain links to third-party websites, social media platforms, or tools (including those of our partner agencies, or platforms like Shopify, Meta, and Google). We do not control and are not responsible for the content, accuracy, or practices of third-party sites. Inclusion of a link does not imply our endorsement. We encourage you to review the terms and privacy practices of any third-party site you visit.

8. Privacy

Our collection and use of personal data through the Site is described in our Privacy Policy, which forms part of these Terms by reference. By using the Site, you also agree to the practices described there.

9. Disclaimers

The Site and its content are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, secure, or error-free.

Descriptions of our services, case studies, or example results on the Site are illustrative and do not guarantee that similar results will be achieved for any particular client, campaign, or business, as marketing and e-commerce outcomes depend on many factors outside our control.

10. Limitation of liability

To the fullest extent permitted by applicable law, Tradeborder LLC (trading as Digifov), its officers, employees, and partner agencies will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the Site or these Terms, even if we have been advised of the possibility of such damages.

Where we provide paid services under a Client Agreement, our total liability arising out of or relating to that engagement will be governed by the limitation of liability terms set out in the Client Agreement itself. Nothing in these Terms limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.

11. Indemnification

You agree to indemnify and hold harmless Tradeborder LLC (trading as Digifov), its officers, employees, and partner agencies from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any rights of a third party, including any materials or instructions you provide to us in connection with a service engagement.

12. Termination

We may suspend or terminate your access to the Site at any time, without notice, if we believe you have violated these Terms or engaged in conduct that is unlawful or harmful to us, other users, or third parties. Termination of Site access does not, by itself, affect the terms of an active Client Agreement, which will be governed by its own termination provisions.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law principles, without prejudice to any mandatory consumer-protection rights you may have under the law of your country of residence. Any dispute arising out of or relating to these Terms or the Site that cannot be resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Pinellas County, Florida, unless a Client Agreement specifies a different dispute resolution process for that engagement.

14. Changes to these Terms

We may update these Terms from time to time to reflect changes in our services, the Site, or legal requirements. The "Last updated" date at the top of this page indicates when it was last revised. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
